TAXINAUT END-USER LICENSE AGREEMENT (EULA) 1. PREAMBLE 1.1. This software including all of its content such as scripts, images, music, sounds, characters, stories, documentation, etc. (hereafter collectively referred to as "TAXINAUT") is copyrighted and protected by international law. TAXINAUT is owned by Jasper Pol and all rights to TAXINAUT are reserved by Jasper Pol unless explicitly granted to you under the license. Some parts of TAXINAUT fall under a third party license (For details about this see: doc/thirdpartylicenses/readme.txt). By downloading, installing or otherwise using TAXINAUT you agree to this license agreement but you do not acquire ownership of TAXINAUT. Provided that you agree to this license agreement and for as long as the terms of the license are met, TAXINAUT is licensed to you (not given) to be used by you under the terms of the license. Any breach of the terms of the license will automatically terminate the license. 2. LICENSE GRANTS AND LIMITS 2.1. The license must be obtained by purchasing TAXINAUT through the Steam or Itch.io store from mosgrom or directly from mosgrom or Jasper Pol with their explicit written consent. If you obtained TAXINAUT or parts of TAXINAUT in any other way then you do not have a license to use TAXINAUT. 2.2. The license only applies to this version of TAXINAUT. No rights to any future versions, expansions or modifications are implied. 2.3. TAXINAUT might contain depictions of nudity, sex, violence, drug-use and prostitution if such depictions are prohibited to you or are likely to cause offense to you or it is illegal for these to be provided to you then you do not have a license to use TAXINAUT. 2.4. The license is personal, non-assignable & non-transferable, perpetual, non-commercial, non-exclusive and without the rights to create derivative works (unless otherwise stated below). 2.5. You are granted the right to install TAXINAUT on any desktop computer or laptop for use by you, your spouse, your children or guests at your primary residence (where "use" means: play the game) provided that: - The computer or laptop is running a compatible Windows Operating System (The only supported OS is Windows 10). - You are the owner of the computer or laptop. - The computer or laptop does not contain information that will cause substantial damage when lost or corrupted. - The computer or laptop is not connected to systems or is instrumental in the operation of systems that can cause substantial damage. 2.6. You are granted the right to publish screenshots, recordings, streams or descriptions, of your use of TAXINAUT provided that: - At all times, you are using it in accordance with the terms of the license. - Screenshots or footage are not modified to such an extend, or presented in such a way, that it becomes unclear that it is a screenshot or footage of a video game being played (examples include: playing just music from TAXINAUT on it's own without showing the accompanying game-play or displaying character portraits in isolation). - It is reasonably clear, to any party, upon viewing the publication that the screenshots, footage or descriptions used are from a video game called "TAXINAUT" to which you do not have any rights of ownership. Monetization of such a publication by you is allowed. 2.7. Any use of TAXINAUT, or part(s) of it, not mentioned in 2.5 or 2.6 is prohibited and constitutes a breach of the terms of the license; this includes but is not limited to: - Making TAXINAUT or copies of TAXINAUT, in any form, in whole or in part, modified or unmodified, available to third parties (for example by putting a copy of TAXINAUT up for download). - Using any part of TAXINAUT or derived from TAXINAUT (for example by recording or streaming), modified or unmodified for the promotion of other products, services or brands, or to suggest in any way that it is a part of other products, services or brands. - Attempting to reverse-engineer or otherwise obtain, part of or in full, the source-code of TAXINAUT or to attempt to bypass or otherwise circumvent anything in the software that is there to prevent reverse-engineering. - Sublicensing or otherwise transferring TAXINAUT, in whole or in part, modified or unmodified, to a third party. - Reselling a TAXINAUT license or purchasing a TAXINAUT license with the intent to resell. - Removing any of the copyright, trademark or license notices from TAXINAUT. - Installing TAXINAUT on a computer you do not own (e.g. at work). 3. PROVIDING CONTENT AND IDEAS 3.1 Hereafter "content" will also mean ideas and suggestions. Examples of content are: - Images (for example: character portraits, spaceships and planetary features such as buildings and fauna). - Sounds (for example: engine and weapon noises, voices and user interface beeps). - Music. - Names (for example: characters names or the names of races, places or planets). - Ideas or "designs" for characters, races, spaceships and planets. - Background stories or "lore" for characters, races, planets or the game world in general. - Stories and dialogs. - Requests or suggestions for additional features or changes to features in TAXINAUT. - Ideas about game mechanics (for example how (in TAXINAUT) the cost of various items are determined or what the procedure is when a player receives a penalty in the game). - Ideas on how to solve problems with the production of TAXINAUT such as computer programming advice. 3.2 You may provide Jasper Pol or mosgrom with content for TAXINAUT or its promotion (for example through email, Discord or the Steam forums) provided that: - You waive any claim or right in the content. - This does not violate the rights of any other party. - This does not result in a breach of contract between you and another party. - You accept responsibility for any royalties, fees or compensation due to any other party from the use of this content in TAXINAUT or its promotion. - You agree to indemnify and hold Jasper Pol, mosgrom and their contributors free from any claim or demand made by any third party due to or arising out of your provision of the content or the use of that content in TAXINAUT or its promotion. 4. LIABILITY, WARRANTY AND SUPPORT 4.1. TAXINAUT is provided 'as is' and any expressed or implied warranties, including, but not limited to, the implied warranties of merchantability and fitness for a particular purpose are disclaimed. in no event shall Jasper Pol, Mosgrom or any of their contributors be liable for any direct, indirect, incidental, special, exemplary, or consequential damages (including, but not limited to, procurement of substitute goods or services; loss of use, data, or profits; or business interruption) however caused and on any theory of liability, whether in contract, strict liability, or tort (including negligence or otherwise) arising in any way out of the use of TAXINAUT, even if Jasper Pol, Mosgrom or their contributors are advised or aware of the possibility of such damages. 4.2. The use of TAXINAUT is done at your own discretion and risk and with agreement that you will be solely responsible for any damage to your computer system or loss of data that results from such activities. No advice or information, whether oral or written, obtained by you from Jasper Pol, Mosgrom, or their contributors shall create any warranty for TAXINAUT. 4.3. INDEMNITY. You agree to indemnify and hold harmless, Jasper Pol, mosgrom and their contributors from any and all third party claims, losses, liability, damages, and/or costs (including reasonable attorneys' fees and costs) arising from your breach of this agreement or your use of TAXINAUT. 4.4. Jasper Pol, Mosgrom or their contributors make no commitment to maintain TAXINAUT, fix any errors or problems with TAXINAUT or notify you of errors or problems in TAXINAUT even if Jasper Pol, Mosgrom or one or more of its contributers are aware that such errors or problems exist. 5. GOVERNING LAW AND ARBITRATION CLAUSE 5.1. The laws of Ireland govern the license. Any controversy or claim arising out of or relating to this license agreement, or the breach thereof, shall be determined by arbitration administered by the International Centre for Dispute Resolution in accordance with its International Arbitration Rules. The number of arbitrators shall be one. The place of arbitration shall be Dublin, Ireland. The language of the arbitration shall be English. 6.
